These Terms of Service (“Terms”) govern your access to and use of spongelabs.io and any related content, products, and services (collectively, the “Services”) offered by Sponge Labs LLC (“Sponge Labs,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Services. By using the Services, you represent that you meet these requirements.

2. The Services

The Services include this website and any information, tools, or materials made available on or through it. Some of our paid services may be offered under separate written agreements. In the event of a conflict between these Terms and a separate written agreement signed by Sponge Labs, the separate agreement controls.

3. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any law.
  • Interfere with or disrupt the Services, servers, or networks, or attempt to gain unauthorized access to any part of the Services.
  • Probe, scan, or test the vulnerability of any system or breach security or authentication measures.
  • Use any robot, spider, scraper, or other automated means to access the Services for any purpose without our express written permission.
  • Reverse engineer, decompile, or disassemble any portion of the Services.
  • Submit content that is unlawful, infringing, defamatory, harassing, obscene, or otherwise objectionable.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

4. Intellectual Property

The Services and all content on them, including text, graphics, logos, images, software, and the selection and arrangement thereof, are owned by Sponge Labs or its licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal or internal business use, subject to these Terms. All other rights are reserved.

5. Trademarks

“Sponge Labs” and the Sponge Labs logo are trademarks of Sponge Labs LLC. Other names, logos, and marks displayed on the Services may be the trademarks of their respective owners. Nothing in these Terms grants you a license to use any trademark.

6. User Submissions

If you submit any feedback, comments, suggestions, or other information through the Services, you grant Sponge Labs a worldwide, royalty-free, perpetual, irrevocable, and sublicensable right to use, reproduce, modify, and publish that information for any lawful purpose. You represent that any submission is your own and does not violate the rights of any third party.

7. Privacy

Our Privacy Policy describes how we collect, use, and share information about you. By using the Services, you agree to our collection and use of information as described in the Privacy Policy.

8. Third-Party Sites and Services

The Services may contain links to or references to third-party websites and services that we do not control. Sponge Labs is not responsible for the content, products, or practices of any third party. Your use of any third-party site or service is at your own risk and subject to that third party’s terms.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. SPONGE LABS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SPONGE LABS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sponge Labs and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Services, your violation of these Terms, or your violation of any rights of another.

12. Termination

We may suspend or terminate your access to the Services at any time and for any reason, with or without notice. Upon termination, the provisions of these Terms that by their nature should survive will continue to apply, including intellectual property, disclaimers, limitations of liability, and indemnification.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Pinellas County, Florida, and you consent to the personal jurisdiction of those courts.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, provide additional notice. Your continued use of the Services after an update constitutes acceptance of the revised Terms.
